The vehicle is incorporated: Circular Houses S.A.S.

A simplified joint-stock company (Colombian Law 1258 of 2008) created exclusively for this project. It is a special purpose vehicle: everything it receives, builds, and operates lives within this company, with assets kept separate from those of its shareholders and other business lines. Circular Houses S.A.S. is the issuer of the shares and holder of the assets; Circular Urban S.A.S. acts solely as administrator under a Special Administration Mandate.

The SPV signs the lease agreement for the land

Circular Houses S.A.S. leases the property where the project is developed under a long-term contract: 10 years, renewable for an additional 10 years. The land is not purchased: its use is secured contractually.

The SPV builds and improves on the property

With the project's resources, the company carries out the improvements, construction, and furnishings (furniture and fixtures) that today make up Circular Houses. These investments are assets registered under the SPV.

Participants subscribe to shares of the SPV

Anyone who participates subscribes to investment shares issued directly by Circular Houses S.A.S. The funds go directly to the company — they do not pass through intermediaries or third-party accounts — and in return you receive shares that make you a shareholder of everything the company owns, in proportion to your participation.

Your participation is formalized and registered

Before subscribing, you complete identity and source-of-funds verification (KYC/AML) and sign the subscription agreement together with a risk disclosure. Once payment is credited to the company's account, you are entered into the Shareholders' Registry Book and receive your shareholder certificate within a maximum of 5 business days.

The asset operates and generates results

Short-stay rental apartments, offices, and commercial premises generate the operating results of the asset, which are distributed among the shareholders according to their participation, in accordance with the subscription agreement and the issuance regulations.

What the company owns (and what it doesn't)

When you invest, you become a shareholder of a special purpose vehicle (SPV) created solely for this project. It owns the buildings, improvements, furnishings, and the right to use the property — not the land itself. That clear separation between what is and isn't part of the company's assets is what makes your participation precisely defined.

  • The furniture, fixtures, and equipment of the project
  • The lease agreement and its rights (10 + 10 years)
  • The cash flows generated by the operation of the asset

Why is it designed this way? Because not tying up capital in buying the lot allows the project to be a cash-flow business: investment focuses on what generates income — the buildings and their operation — not on the land. Use of the property is contractually secured for up to 20 years.

How resources are separated and traced

Your money never mixes with other projects, other business lines, or intermediaries. It goes directly to the SPV that owns the assets, is registered in your name, and can be traced from the deposit all the way to the shareholders' book — with independent legal, valuation, and compliance safeguards at every step.

Separate equity

The SPV is an independent legal entity: its assets and resources are not mixed with those of the founders or other projects.

Subscription agreement

Your relationship with the project is governed by a share subscription agreement and an issuance regulation, both legally reviewed.

Direct deposit to the company

Resources go directly into the SPV's account as subscription price. No intermediaries, no bridge accounts.

Verification and registration

Every participant goes through identity and source-of-funds verification (KYC/AML) before being able to subscribe.
