Solar Subway La Pintada is the project that opens a new SPV, owned by Avanti & Progreso S.A.S., designed to hold several PPA contracts — not a single-asset vehicle. As new PPA clients join, the same company grows and spreads its revenue base across different contracts.

This first project already has its energy buyer secured: Subway La Pintada signs a power purchase agreement (PPA) for 10, 12 or 15 years, before construction begins. The system is 33.8 kWp and is delivered by SOLVED Energy, an EPC specialising in solar.

When the contract ends, the system becomes the property of Subway La Pintada. Each PPA asset inside the SPV has an economic life set by its contract term — which is why the company is built to keep adding new PPA projects over time rather than depending on a single one.

    Circular Energy S.A.S. is incorporated

    A new simplified joint-stock company, created to hold several PPA projects under one vehicle — with assets ring-fenced from other business lines. Circular Energy S.A.S. issues the shares and holds the assets; Circular Urban S.A.S. acts as structurer and administrator, under a Special Administration Mandate.

    Circular Energy S.A.S. signs the EPC with SOLVED Energy

    A contract for the design, supply and installation of the 33.8 kWp photovoltaic system.

    Circular Energy S.A.S. signs the PPA with Avanti & Progreso S.A.S.

    Avanti & Progreso S.A.S., owner of the Subway La Pintada franchise, contracts the purchase of energy for 10, 12 or 15 years, at a price below their current rate — the system is installed and running at the store.

    Participants subscribe for shares in Circular Energy S.A.S.

    Funds go straight into the company, always in Colombian pesos. In return you receive shares in proportion to your participation.

    Your participation is formalised and registered

    Identity and source-of-funds verification (KYC/SARLAFT), subscription agreement, risk disclosure and entry in the Shareholders' Register.

    The system is built and starts operating

    From signed contract to grid-operator legalisation: 15 weeks.

  7. 7

    The system runs and produces results

    The energy sold to Subway under the PPA produces the asset's operating results, distributed among shareholders according to their participation.

When the contract ends, the system becomes the property of Avanti & Progreso S.A.S. Unlike other Circular Urban projects, each PPA asset inside this SPV has an economic life set by its contract term — which is why the company is designed to keep adding new PPA projects over time rather than depending on a single one.

How the operation flows

From the energy generated, to the money reaching the SPV and being shared among shareholders.

The solar system delivers consumed energy to Subway La Pintada and unconsumed surplus to EPM. Subway pays the monthly PPA rate to the SPV and EPM pays it the surplus credit. The SPV distributes the asset's operating results among its shareholders.

Structure

What the company owns (and what it does not)

  • The property or roof each system sits on — it belongs to the client
  • The system itself once the contract term ends — it transfers to the corresponding client

Returns depend on the term the client confirms

Subway La Pintada can choose a 10, 12 or 15-year contract. The longer the term, the bigger the discount we give the client — but the more years of secured cash flow for the company. These are the three alternatives:

All participation involves risk, including the possibility of partial loss. In its early stage this project depends on a single client — its continuity is protected by the PPA's contractual guarantees, KYC verification of the client and financial analysis of their income statements. Subway La Pintada has operated steadily in the area for more than 10 years.
